The functional design is sound, but the server connection quality is extremely poor and urgently needs improvement.
Pros: Easy to use, with a well-designed UI, and comprehensive features such as deduction and user group perspectives, meeting all trading needs.
Cons: Poor network connection, frequent failures to download large files, and frequent logouts during deduction.

Datasite offers a comprehensive VDR product that is easy to use and offers full functionality plus extras (market intelligence, redactions) that you don't get everywhere.
Pros: Ease of use. Easy to find useful information from the landing page. No bugs or glitches in all my time using.
Cons: Sometimes the user interface contains so much information if you don't know what you need it can be overwhelming.

Whether on the buy side or the sell side, the user interface is constantly being improved, and it is also the most affordable option in terms of price.

Pros: As a VDR service, it’s excellent that they are constantly improving the user interface—not only by providing basic data security features but also through AI-powered document search and Q&A functions that facilitate smooth communication.
Cons: It was disappointing that the custom dashboard feature was removed, leaving only the standard package dashboard.

Very good and easy to sue. Highly recommend this as the go to Virtual Data Room for all transaction related needs.
Pros: Easy to use. Data is organized in a format that is easy to navigate. Secure and users are sent updates when new docs are posted.
Cons: Resetting password can be a little cumbersome and lengthy. Otherwise no other issues with using the site.

Overall, my experience with Datasite Diligence Virtual Data Room has been mixed . The core functionality is there, and it can support a complex diligence process once everything is configured. Cost is an issue and it will need to be better value for money, even if that means investing time in transitioning away from this tool.
Pros: The platform is stable once data is uploaded, and I didnt experience outages or hanging of web pages when large documents are opened. The permission controls are granular enough to segregate internal, external, and advisor access without involving IT. Bulk upload works reasonably well for large folders, and document indexing is accurate and easy enough to find what is needed via basic search. Email notifications for new document uploads is nice and i really like the Q&A feature as well as it helped keep external counterparties on track during the busier stages of the process.
Cons: The learning curve is steeper than it should be, even for users who are familiar with other virtual data rooms, and i needed a walk through with IT before i was comfortable. The user interface feels a little dated and unintuitive, with too many clicks required to perform simple actions like moving folders, updating permissions, or answering Q&A in bulk. From a cost perspective, the pricing structure is relatively high in this digital age. Customer support is responsive but often reactive rather than proactive

Pros: DataSite delivers an intuitive user experience backed by genuinely robust features. The platform is easy to navigate, making even complex deal processes remarkably straightforward—no needless clicks or confusion. Its clean, logical layout lets you find the information you need in seconds, whether you’re digging into diligence documents or tracking deal progress. The feature set checks every box for practitioners: smart access controls, strong reporting, streamlined Q&A, and seamless bulk upload tools. Everything feels thoughtfully designed for deal teams. Overall, DataSite stands out as a platform that balances simplicity with powerful functionality.
Cons: While DataSite offers a secure environment for document sharing, the process of reviewing files is frustratingly slow. Navigating through files one by one is time-consuming, especially in larger data rooms with hundreds or thousands of documents. There’s no efficient way to skim or bulk-review file contents—each document must be opened individually, making it difficult to rapidly assess what’s important versus what’s boilerplate. For deals that demand speed and agility, this slows down diligence and creates unnecessary drag. A more streamlined, preview-friendly interface would make it much easier to quickly scan and prioritize key files during review.

Datasite performs its purpose reliably and is a tool our team utilizes regularly to accomplish our deal work.
Pros: The platform allows users to configure custom upload alerts, and the folder structure is easily navigable.
Cons: Some features require extra steps to access and there are occasional delays when working with large files/folders.
Hank H. · Transaction Advisory Analyst · Financial Services · October 3, 2025
Overall experience was positive with easy login, file management and access. Easy download to work with files on desktop.
Pros: Easy to navigate and search. Fast file download. Easy to access files when I'm on the road for business travel.
Cons: Need to understand indexing system. Hard to tell the difference between similar files without downloading and comparing
Dan R. · Vice President · Investment Management · October 2, 2025
Pros: Datasite is the easiest to use VDR site that I've used. It very easily sorts uploads by date which is one of my biggest annoyances with other VDRs.
Cons: I do not have any major cons. Perhaps integration with AI (though there may be privacy limitations) where Datasite could flag documents related to a certain topic would be helpful.
Seth L. · Senior Associate · Accounting · October 1, 2025
Pros: I like the preview feature, I think the newest update is helpful in seeing which folders the document you're searching for is in. I think it's relatively easy to organize and easy to learn how to use as compared to other data rooms.
Cons: I wish you could search by Doc IDs/location numbers in addition to just searching for document contents or titles.
Alex B. · Associate · Law Practice · October 1, 2025
My experience with Datasite was excellent. The platform is intuitive and efficient, making it easy to manage sensitive documents during due diligence. I could seamlessly control third-party access to documents, redact content, and monitor user activity—all within a user-friendly interface.
Pros: Great user-friendly interface, built-in redaction tools that improves confidentiality, granular access controls for secure document sharing, and real-time activity monitoring.
Cons: There’s honestly nothing I can think of that I disliked about Datasite. It met all my expectations for the project I was leading.

Datasite is our preferred vendor and we will always recommend it to clients. The ease of use and user interface are key differentiators amongst its peers.
Pros: Quick and easy to use user interface - the Datasite team has really though about all of the necessary functions you could need for a VDR. Additionally, the customer service is unmatched; the team is ready, willing, and able to answer any and all questions at any time.
Cons: Compared to their peers, they are a best-in-class virtual data room provider and it is difficult to pinpoint any apparent issues with the platform.
Joe R. · Associate · Banking · October 1, 2025
I use Datasite for roughly 10 deals a year and it is the best option that I've experienced. The only things I would improve are: the download mechanics (just start the download immediately without needing to navigate to a new screen and don't send me emails about my download being ready), the index UI feels a bit clunky, and the search feature struggles to pick up the contents of documents where uploading the contents to a doc review software and searching does capture the contents of easily readable documents.
Pros: Being able to see the date of uploads and sort by "New". This is huge, along with the icon telling you if you've downloaded a document yet -- other data rooms make it near impossible to track what has been added to the room.
Cons: The download mechanics. I wish I didn't need to click at least 4 times and receive emails every time I want to download a decent amount of documents. I would love for the download to just begin without needing to navigate to the downloads screen.

Datasite is the best virtual data room to work with. It is the easiest to navigate and most efficient for locating records. I work among several data rooms operated by multiple parties on various projects at the same time. I love it when they all align with Datasite.
Pros: Datasite has the best virtual data room over any other I've worked with, which includes several others. Navigation is the easiest in Datasite. It is easy to see when new files are loaded, easy to use the search tool to locate obscure documents. I have never needed to contact customer support. No training is needed to use this tool, it's completely intuitive and makes the document management / sharing process very smooth.
Cons: At times I see an update there are new documents but I don't get the view of the names of the documents that have been added. This may be because there are too many to list in the preview or it could be a setting. It's not something I have enough concerns about to troubleshoot but I have thought about it because seeing the document list is more helpful.

I had great experience with the tool and in my company I have used it for tens of deals and it has worked very well and with no flaws.
Pros: It is easy to use and navigate, file management can be done based on our needs, easy to browse through the documents, data room works well with all deals, and the learning curve is low.
Cons: I was able to use the data room very easily, without anny training or documentation and did not notice any cons.
Mousumi G. · Senior Director · Airlines/Aviation · October 1, 2025
Great experience overall and my preferred provider over IntraLinks and DFin. Customer service is also awesome.
Pros: The interface is great and it’s easy to check permissions, organize documents and add people. The Sandbox feature makes it really easy to permission clients to upload docs without worrying about them going to the live data room.
Cons: I think the tracker feature could be a little better. Last I used it I couldn’t link a specific question from the Q&A or link a file to it, it was all manual (e.g., writing out where a file is located).
Jack R. · Investment Banking Associate · Investment Banking · September 30, 2025
Pros: I have used Datasite from both the organizer and viewer perspective, and have found both angles extremely user friendly and easy to grasp. When managing the dataroom, the support the team provided was amazing, and Datasite was always the highest value among its competitors.
Cons: I would appreciate the default setting being alerts whenever a new file is uploaded rather than a daily summary, as I feel like I've missed new documents being uploaded, but that may be personal preference.
Alexandra O. · Investment Associate · Financial Services · September 30, 2025
Pros: Very convenient and easy to use. The data room is clearly laid out, and the folders and files are easy to access. It is simple to add, edit and download documents. I especially appreciate that is is extremely easy to find newly added materials.
Cons: Too many subfolders! Granted, that may have been how the user set up the data room, but it does get frustrating to navigate too many levels of subfolders.

Exceptional - Datasite is the leader in the M&A software and data respository space. It is the best site for efficiently locating M&A files.
Pros: The GenAI capabilities, easy to download files, and inuitive use. Datasite makes it easy for me to see when new files are uploaded, and find them quickly.
Cons: Overall, it's a great site! I have used the Q&A functions on a few deals have had some confusion on when questions go internal or external, but it seems to work well when implemented properly.
Adam M. · Senior Manager · Accounting · September 30, 2025
I am extremely satisfied with our experience to date. I have been using Datasite my entire career and find it to always be an incredibly useful tool.
Pros: Datasite Diligence VDR does a lot for our firm from allowing us to review who is viewing documents to keeping encrypted files safe for our clients. We use Datasite for each process we run and think it to be useful for clients and counterparties. The user interface is extremely easy to use and easy to learn, many of our blue collar clients use it with ease. Would highly recommend.
Cons: Some items are a bit pricey for us and our clients. It is a premium product which makes sense, but ~$1,500 for a single encrypted USB is wild.
Perry W. · Associate · Investment Banking · September 30, 2025
Pros: Ability to see new uploads easily and quick efficient notifications. Document management and folders make finding files easy.
Cons: There aren't many cons to datasite VDR. The one thing to note is file sizes being too long when downloaded.
Andrew C. · TAG · Accounting · September 30, 2025
Overall, my experience has been very positive. It’s a platform I enjoy using and trust for diligence projects. While a few functionalities around data request mapping and follow-ups could be streamlined or made more user-friendly, the strengths of the platform outweigh the drawbacks. With minor improvements in those areas, it would be close to perfect.
Pros: I really enjoy how intuitive and polished the overall platform is. It’s fast, organized, and makes collaboration across diligence teams very manageable. The document management, user permissions, and general navigation are strong, and it feels like a reliable tool for complex transactions.
Cons: Some features tied to request tracking—specifically mapping documents to data requests and handling follow-up requests—are less intuitive and can feel cumbersome. The user flow in those areas isn’t as smooth as the rest of the platform, which slows down organization and oversight at times.
Anthony W. · Director · Banking · September 30, 2025
Very good experience using the data room for capital market fund raising transaction. The file management was intuitive and provided a great learning curve. Managed 4 separate projects after the initial one.
Pros: Good document management system along with folder structures and easy navigation plus prompt customer support.
Cons: A bit expensive for value for money. Also, the relationship manager for my account changed mid-way, so the new manager's response rate was slow.
Ankit A. · AVP · Real Estate · September 25, 2025
Pros: overall interface and the way it is easy to navigate and the ongoing notification when any data is uploaded
Cons: would be helpful if you can integrate AI and provide a quick summary of the doucments uploaded so that it is efficent to read.
